The Latvian board can contain one or several natural persons. Roles must be real, with powers that match the work.

Decisions organised from Riga

Annual plan and budget, major contracts, hiring, banking mandates, investments, financing, dividend proposals and changes to core suppliers or markets.

Work that may remain distributed

Sales calls, delivery, development, customer support and travel can take place elsewhere when responsibilities, reporting and any local tax footprint are mapped honestly.

A second Latvian board member

This can add local decision capacity when the person has genuine authority, information and responsibility. A name on paper without a function does not create an operating base.

A home-country branch or PE

It can coexist with the SIA. Contracts, people and ledgers must then support a defensible allocation between the Latvian company and the activity carried out elsewhere.

For a remotely owned company, we usually organise four substantive working sessions a year in Riga, often over two or three days. This is an operating rhythm, not a universal Latvian travel quota.

Latvian law does not create one universal number of square metres, employees or board trips for every SIA. The setup must be proportionate to the function claimed.

FAQ

Questions founders ask about substance in Latvia

That depends on the function the SIA claims to perform. A registered address is mandatory, but it does not show an operating business by itself. An active trading or management function usually needs suitable premises, people, powers and records proportionate to the activity.

Latvian company law sets no universal number of trips for a foreign board member. For a remotely owned cross-border company, we usually organise four substantive Riga working sessions a year, often lasting two or three days, with real agendas and decisions.

The role must support the real business: supplier coordination, administration, customer operations, finance control, logistics, market work or another defined function. The contract records the workplace, occupation, remuneration and working time; output and reporting show that the role operates.

There is no universal substance figure. Hours follow the workload and responsibilities. A part-time role can be coherent for a focused function; a larger operating claim needs matching capacity. In 2026 Latvia's full-time minimum gross monthly wage is EUR 780, with part-time remuneration aligned to the agreed time.

Material decisions that belong to the SIA: budget, major contracts, hiring, bank powers, investments, financing and key market or supplier changes. The records must reflect where the people with authority actually assessed and approved them.

You can continue genuine distributed work such as sales, development, delivery or customer support. We map that role separately so contracts, reporting and any branch or permanent-establishment consequences can be handled in the country where the work occurs.
