Eligibility and ownership

Yes. A foreign individual can own all shares and sit on the board without Latvian residence. The separate question is where the company is effectively managed and taxed.

Self-employment keeps the activity and liability with the individual. A SIA is a separate legal person with corporate accounting, limited liability and the Latvian retained-profit tax model, but more administration.

We do not create anonymity arrangements. A trust is not a Latvian company form, and a holding or nominee does not remove the duty to identify the natural person who ultimately controls the SIA.

SEB publishes a remote qualified-signature route for a temporary account. The capital contribution must remain traceable to the subscriber; a corporate founder therefore needs a documented payment path in its own name.

Yes, a US person can be reviewed for a Latvian business account. FATCA adds tax-residence, TIN and ownership checks, which can lengthen the file.

Company and shareholder tax

Retained profit is generally taxed at 0%. Distributed or deemed-distributed profit is taxed under the 20/80 formula, equal to 25% of the net amount distributed.

There is no safe country-only answer. Latvia applies special 20% rules to payments connected with listed low-tax jurisdictions; otherwise the beneficiary, payment type and applicable treaty still need checking.

The relevant treaty is applied to the real beneficiary, income and residence facts. It can allocate taxing rights or limit a source-country charge, but it does not replace domestic filing and substance analysis.

Yes. Effective management, contracts, staff or a fixed place abroad can create corporate residence or a permanent establishment there. Latvian registration does not cancel that exposure.

For the covered foreign controlled transactions, Latvian rules start local-file reporting duties above EUR 250,000 in annual controlled transactions. Counterparty category, totals and deadlines must still be checked.

There is no universal salary for every board member. A full-time employee has a 2026 minimum gross monthly wage of EUR 780; deemed board income and residence-permit remuneration follow separate conditions.

Latvia currently taxes relevant personal capital gains at 25.5%, while a SIA generally pays 0% on retained profit. The comparison is useful, but ownership, extraction and foreign-country rules decide the real result.

VAT, e-commerce and imports

EUR 10,000 is the EU-wide threshold for covered cross-border B2C sales. EUR 50,000 is Latvia's domestic VAT-registration threshold; stock and local transactions can trigger registration earlier.

For qualifying cross-border EU B2C sales, OSS lets the company report destination VAT through one member state. It does not replace local VAT registrations created by stock or domestic sales.

Holding or moving stock in another member state commonly creates a local VAT registration before sales are made. The exact French or German filing route is checked before the first stock movement.

A Latvian SIA is established in the EU, so France's mandatory fiscal-representative regime for non-EU businesses does not generally apply. French VAT registration and filings can still be required.

An EORI identifies the operator across the EU. Customs declaration, duty and import VAT follow the product code, importer and country of entry, so the inbound route is designed before shipment.

There is no universal best country. Customer geography, inbound freight, fulfilment price, returns, delivery promise, customs and local VAT obligations determine whether Latvia, Germany, Poland or France wins.

Immigration and residence

For applications under the law effective 15 September 2026, the route can run up to two years and requires at least EUR 2,800 paid-up SIA capital plus EUR 25,000 of company taxes per financial year during validity.

The new text removed the old one-year company-age wording from the board route, set the EUR 25,000 annual company-tax test and capped that route at two years. Transitional rules protect earlier applications and permits.

The qualifying small-company route requires at least EUR 50,000 invested plus EUR 10,000 paid to the state budget. It is capped at two years and adds company-size, investor-count and EUR 40,000 annual tax conditions.

Yes, the new law contains an innovative-business route of up to three years. It limits the number of foreign founders per activity and uses milestones, so each founder and business plan must be mapped.

They are separate legal bases, not substitutes for one another. The remote-work visa currently targets qualifying OECD-linked workers, the pension route has nationality and resource tests, and property cases require a current route check.

No. It supports residence in Latvia; trips to other Schengen states remain short stays, generally within 90 days in any 180-day period. It is not EU-citizen free movement.

The Register usually examines a complete simple filing in 1-3 working days. A straightforward individual-founder project can target operational launch in 2-3 weeks; a foreign corporate founder commonly needs 8-10 weeks.

A Latvian company is not anonymous. Corporate officers, filings and annual reports are available through the Register under its access rules, and the ultimate beneficial owner must be declared.

Governance and co-founders

The shareholder agreement should cover reserved matters, board control, funding, deadlock escalation, transfers, leaver events, IP, vesting and exit. These points are fixed before equal ownership becomes a blockage.

One or more natural persons can sit on the board, including foreign founders. Powers should follow who actually decides and signs; a Latvian member is useful only with a genuine mandate.

There is no separate “micro-SIA” tax product. A reduced-capital SIA has specific shareholder and board restrictions; it can employ staff, but every board member must meet the statutory shareholder conditions.
